1. Eligibility and Account Registration
You must be legally capable of entering into a binding agreement to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2. Educational Purpose; No Medical Advice
ClinicalBridge is provided for education, simulation, and training purposes only. The Services do not provide medical advice, diagnosis, or treatment and are not a substitute for licensed clinical judgment, supervision, or professional standards of care.
3. Acceptable Use
- Use the Services only for lawful and authorized purposes.
- Do not attempt unauthorized access, disruption, or interference with the Services.
- Do not upload content that infringes third-party rights or violates applicable law.
- Do not use the Services to generate or distribute harmful, deceptive, or abusive content.
4. User Content
You retain ownership of content you submit or upload ("User Content"). You grant ClinicalBridge a non-exclusive, worldwide, royalty-free license to host, process, transmit, and display User Content as necessary to provide, maintain, and improve the Services.
You represent and warrant that you have all rights necessary to provide User Content and grant the license above.
5. Subscriptions, Billing, and Renewals
Certain features require a paid subscription. By subscribing, you authorize recurring charges in accordance with the selected plan. Fees, billing cycles, and available plan features are described on our pricing and billing pages.
You may manage, change, or cancel your subscription through the available billing controls. Except where required by law, fees are non-refundable.
6. Intellectual Property
ClinicalBridge and its licensors retain all rights, title, and interest in and to the Services, including software, design, trademarks, and related intellectual property. Except as expressly permitted in these Terms, no rights are granted to you by implication or otherwise.
7. Third-Party Services
The Services may rely on or link to third-party services (including authentication, hosting, analytics, and payment processing). Your use of third-party services is subject to those providers' terms and policies.
8. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the maximum extent permitted by law, ClinicalBridge and its affiliates, officers, employees, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, goodwill, or business opportunities arising out of or related to the Services.
Our aggregate liability for claims arising from or related to the Services will not exceed the greater of (a) amounts paid by you to ClinicalBridge in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars (USD $100), unless otherwise required by applicable law.
10. Indemnification
You agree to defend, indemnify, and hold harmless ClinicalBridge and its affiliates from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your User Content, or your breach of these Terms.
11. Suspension and Termination
We may suspend or terminate access to the Services, in whole or in part, at our discretion, including where we reasonably believe you have violated these Terms, created legal risk, or threatened the security or integrity of the Services.
12. Changes to the Services or Terms
We may update the Services and these Terms from time to time. If we make material changes, we will provide notice as required by applicable law. Continued use of the Services after updated Terms take effect constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by and construed in accordance with applicable laws of the governing jurisdiction, without regard to conflict-of-law principles, except where mandatory local law provides otherwise.
